These Terms of Service (“Terms”) govern your access to and use of StatusFlow, including our website, web application, browser extensions, APIs, AI-assisted features, communications, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
These Terms form a binding legal agreement between you and StatusFlow (“StatusFlow”, “we”, “us”, or “our”).
If you use the Services on behalf of an organization, business, school, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes that entity.
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, store, and disclose personal information.
1) Scope of These Terms
These Terms apply to, among other things:
- your account registration and use of the web application;
- your use of dashboards, tracking tools, uploads, notes, and analytics;
- your use of AI-assisted features, generated outputs, and workflow tools;
- your use of browser extensions, including compatible Chrome or Safari workflows;
- your use of our APIs, support channels, and related public pages.
If we publish separate feature-specific terms, program terms, API terms, beta terms, enterprise terms, or extension-store disclosures, those may supplement these Terms. If there is a direct conflict, the more specific terms control for that specific feature or program.
2) Eligibility and Minimum Age
You may use the Services only if you are legally capable of entering into a binding agreement and are not prohibited from using the Services under applicable law.
StatusFlow is not intended for children under 16. If you are under the age of majority where you live, you may use the Services only if a parent or legal guardian is permitted by law to accept these Terms on your behalf and supervises your use where required.
We may refuse access, suspend access, or close accounts where we reasonably believe a user is ineligible to use the Services.
3) Account Registration and Security
Some features require an account. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- restricting access to your devices and account;
- all activity occurring under your account, except to the extent caused by our own misconduct or breach of law;
- promptly notifying us of any suspected unauthorized access, credential compromise, or other security incident at privacy@statusflow.ca.
We may require identity, access, or ownership verification in connection with support, recovery, deletion, security, or abuse-prevention requests.
4) What the Services Do
StatusFlow provides tools to help you manage and understand your job search, which may include application tracking, notes, statuses, analytics, reminders, insights, AI-assisted workflows, and browser-extension support.
The Services may evolve. We may add, remove, revise, or discontinue features, interfaces, limits, integrations, workflows, or technical methods at any time, including for security, legal, reliability, or product reasons.
We do not guarantee that any particular feature, integration, browser-extension capability, supported site, or AI provider will remain available for any particular period of time.
5) Free Services, Paid Services, and Future Pricing
Some or all of the Services may currently be offered free of charge. We reserve the right to introduce paid plans, premium features, usage limits, subscription models, enterprise terms, or other commercial structures in the future.
If we introduce paid offerings, we will present applicable pricing and payment terms at the point of purchase or upgrade. Unless expressly stated otherwise, fees are non-refundable except as required by law.
6) Acceptable Use Rules
You may use the Services only in compliance with these Terms and applicable law.
You must not:
- use the Services for unlawful, deceptive, fraudulent, or abusive purposes;
- upload or transmit content that infringes intellectual property, privacy, or other rights;
- interfere with, disrupt, damage, probe, scan, reverse engineer, or circumvent the Services or related systems except where such restriction is prohibited by law;
- introduce malware, malicious code, scraping bots, credential attacks, or harmful automation;
- misrepresent your identity, affiliations, qualifications, or rights to use content;
- use the Services to generate spam, phishing, deception, impersonation, or harmful employment-related content;
- use the Services to build, benchmark, train, or improve competing products, models, or datasets using StatusFlow content or systems without our written permission;
- collect or process another person’s personal information through the Services without a lawful basis and appropriate rights;
- use AI-assisted features for illegal, discriminatory, harassing, or harmful outputs;
- misuse browser-extension permissions, automation, or page access in a way that exceeds the intended user-facing workflow of the product.
We may monitor for abuse, misuse, fraud, reliability issues, or policy violations using automated or manual methods.
7) Your Content
“Your Content” means information, data, text, documents, resumes, cover letters, application records, notes, attachments, prompts, selected text, or other material that you submit, upload, generate, store, or transmit through the Services.
As between you and StatusFlow, you retain ownership of Your Content, subject to the rights you grant us in these Terms.
You represent and warrant that:
- you own or have the rights necessary to submit and use Your Content through the Services;
- Your Content and your use of it do not violate law or third-party rights;
- you have all necessary permissions and lawful basis for any personal information about other people that you upload or cause us to process.
You are solely responsible for Your Content, your decisions, and the consequences of storing, generating, exporting, sharing, or relying on it.
8) License You Grant to StatusFlow
Solely for the limited purposes of operating, providing, securing, maintaining, improving, and supporting the Services, you grant StatusFlow a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, transmit, display, analyze, index, adapt, and otherwise process Your Content as reasonably necessary for those purposes.
This includes processing needed for storage, backup, debugging, analytics, abuse prevention, AI feature execution, extension workflows, synchronization, export, customer support, and technical improvement.
This license ends as to specific content when that content is deleted from our active systems, subject to retention limits, legal obligations, backup cycles, and rights that survive as described in these Terms and our Privacy Policy.
9) Feedback
If you provide ideas, suggestions, feedback, comments, or proposed improvements regarding the Services, you grant StatusFlow a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, royalty-free right to use, copy, modify, publish, adapt, and exploit that feedback for any lawful purpose, without compensation or obligation to you.
10) AI-Assisted Features
StatusFlow may include AI-assisted tools and workflows. Those features are intended to assist you, not replace your judgment.
A. Inputs and outputs
AI-assisted features may process prompts, job descriptions, resumes, application records, page text, chart summaries, notes, selected text, or similar materials to generate outputs such as analyses, drafts, explanations, questions, summaries, suggestions, or scores.
B. Third-party AI providers
We may route AI requests through one or more third-party providers selected for feature fit, cost, latency, privacy, safety, availability, or technical reasons. Those providers may process the data necessary to generate the output you requested.
C. No guarantee of accuracy
AI can make mistakes. AI outputs may be inaccurate, incomplete, misleading, biased, offensive, stale, hallucinated, improperly formatted, or otherwise unsuitable. You must review, verify, edit, and independently assess all AI outputs before using or relying on them.
D. No professional advice
AI outputs and analytics are informational tools only. They are not legal, employment, recruiting, immigration, financial, human resources, psychological, or professional advice.
E. No automated legal-effect decisions
StatusFlow is not intended to make solely automated decisions with legal or similarly significant effects about you. Final decisions remain yours.
F. Your responsibility
You remain solely responsible for all decisions you make based on AI outputs, including applications submitted, resume changes, communications sent, interviews attended, or any other job-search actions.
11) Browser Extension Terms
If you install or use a StatusFlow browser extension or compatible extension workflow, the following additional terms apply.
A. Extension permissions and page access
The extension may request permissions or access needed to detect supported pages, read job descriptions, capture job details, support autofill, process selected text, or provide AI-assisted actions. You may choose whether to grant or continue granting those permissions, subject to browser and store rules.
B. Supported sites and compatibility
We do not guarantee that any website, ATS, job board, browser, browser version, or extension store policy will remain compatible with the extension at all times.
C. Store rules
Your use of any browser extension may also be subject to the terms, policies, or technical requirements of the applicable browser, extension store, or platform provider. If those rules require a removal, suspension, update, or limitation of extension functionality, we may take that action.
D. User responsibility
You are responsible for ensuring that you have the right to use an extension on a device, browser profile, employer-controlled system, or third-party website, and for complying with any site-specific or workplace rules that apply to you.
12) Third-Party Services and Integrations
The Services may integrate with or link to third-party services, including identity providers, job boards, employer portals, analytics providers, AI providers, browsers, extension stores, cloud infrastructure, and communications services.
Third-party services are controlled by their own terms and policies. We do not control and are not responsible for third-party services, content, security, downtime, or policies.
If you enable a third-party integration, you authorize us to exchange information with that third party as reasonably necessary to provide the feature you requested.
13) Privacy
Your use of the Services is subject to our Privacy Policy. By using the Services, you acknowledge that we will collect, use, disclose, store, and otherwise process information as described there.
14) Intellectual Property and Ownership
The Services, including software, interfaces, design elements, branding, logos, compiled data, code, models, prompts, documentation, and other materials we provide, are owned by StatusFlow or our licensors and are protected by intellectual property and other laws.
Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
You must not remove, obscure, or alter proprietary notices, branding, or attribution in the Services.
15) Beta, Preview, and Experimental Features
We may make beta, preview, experimental, or early-access features available from time to time (“Beta Features”).
Beta Features may:
- be incomplete, unstable, or unavailable at any time;
- have additional limits, warnings, or separate conditions;
- change materially or be withdrawn without notice;
- be less reliable than general-availability features.
Unless we say otherwise in writing, Beta Features are provided for evaluation and non-production use only.
16) Suspension, Restriction, and Termination
We may suspend, restrict, disable, or terminate access to all or part of the Services at any time, with or without prior notice where reasonably necessary, including if:
- you violate these Terms or applicable law;
- we reasonably suspect fraud, abuse, security risk, or harmful conduct;
- we are required to do so by law, court order, regulator, provider, or platform rule;
- doing so is necessary to protect users, third parties, or the Services;
- the Services or a portion of them are discontinued.
You may stop using the Services at any time. Where available, you may request account deletion or data export subject to applicable limits and our Privacy Policy.
17) Service Availability and Changes
The Services may be unavailable, interrupted, degraded, or modified from time to time due to maintenance, upgrades, outages, attacks, third-party dependencies, legal requirements, product changes, or other reasons.
We do not guarantee uninterrupted availability, permanent feature continuity, or that every part of the Services will always function with every device, browser, extension environment, operating system, job board, or third-party service.
18) Disclaimers
Except to the extent prohibited by law, the Services are provided “as is” and “as available”.
To the maximum extent permitted by law, StatusFlow disclaims all warranties, representations, conditions, and guarantees, express, implied, statutory, or collateral, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, compatibility, availability, quiet enjoyment, quality, and non-infringement.
Without limiting the above, we do not warrant that:
- the Services will be uninterrupted, secure, or error-free;
- the Services will meet your expectations or specific employment outcomes;
- any AI output will be accurate, complete, lawful, or fit for your intended use;
- any browser-extension workflow will work on every site, browser, or version;
- data loss, corruption, delays, or incompatibilities will never occur.
Some jurisdictions do not allow certain disclaimers, so some portions of this section may not apply to you to the extent prohibited by law.
19) Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, willful misconduct, or death or personal injury caused by negligence where applicable law prohibits exclusion.
To the maximum extent permitted by law, StatusFlow and its affiliates, officers, directors, employees, contractors, licensors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, contracts, goodwill, opportunities, reputation, data, or business interruption, arising out of or related to the Services or these Terms, even if advised of the possibility.
To the maximum extent permitted by law, the total aggregate liability of StatusFlow and its affiliates, officers, directors, employees, contractors, licensors, and agents arising out of or relating to the Services or these Terms will not exceed the greater of:
- CAD $100; or
- the total amount you paid to StatusFlow for the specific Services giving rise to the claim during the 12 months before the event that first gave rise to liability.
These limitations apply regardless of the form of action and regardless of whether a remedy fails of its essential purpose.
20) Indemnification
To the maximum extent permitted by law, if you use the Services for business, organizational, institutional, or other non-personal purposes, you agree to defend, indemnify, and hold harmless StatusFlow and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your Content;
- your use of the Services;
- your violation of these Terms or applicable law;
- your violation of any third-party rights;
- content or conduct you generate, transmit, or cause through AI or extension workflows.
This indemnity does not apply to the extent a claim is caused by our own willful misconduct or gross negligence where such carve-outs are required by law.
21) Informal Resolution and Notice of Dispute
Before starting formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice describing the issue to privacy@statusflow.ca.
We will try in good faith to resolve disputes informally within 30 days where practical. Either party may proceed with formal action afterward if informal resolution does not solve the issue.
22) Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules.
Subject to mandatory consumer or local-law rights that cannot be waived, you and StatusFlow agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
If local law gives you non-waivable rights to bring claims in another forum, nothing in these Terms is intended to override those rights to the extent such override would be unlawful.
23) Export Controls and Sanctions
You may not use, export, re-export, download, release, or otherwise transfer the Services in violation of applicable export-control, sanctions, or trade laws.
You represent and warrant that you are not located in, ordinarily resident in, organized in, or controlled by persons in a country or territory that is subject to applicable prohibitions that make your use unlawful.
24) Changes to the Services and These Terms
We may update these Terms from time to time to reflect changes in law, product design, AI-assisted features, browser-extension functionality, pricing, risk management, business operations, or our Services generally.
If a change materially affects your rights or obligations, we may provide notice through the Services, by email, on the website, or by another reasonable method. The updated Terms become effective on the date stated at the top unless otherwise specified.
If you do not agree to the updated Terms, you must stop using the Services. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms, except where law requires a different form of assent.
25) Miscellaneous
- Entire agreement. These Terms, together with any incorporated policies or supplemental feature terms, form the entire agreement between you and StatusFlow concerning the Services.
- No waiver. A failure to enforce any provision is not a waiver of future enforcement.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of assets.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control.
- Survival. Provisions that by their nature should survive termination survive, including provisions on intellectual property, feedback, disclaimers, liability, indemnity, governing law, disputes, and related legal terms.
- Language. The controlling language of these Terms is English.
